Terms of Service

Who this agreement is between

These terms are between Axiora Web, a two-person web development studio operated by Masud Abdullah and Zabid, and you, the client commissioning the work. They take effect when you accept a written quote from us, whether by email or by paying a deposit against it.

Quotes and scope

We quote a fixed price in writing before any work starts, normally within 24 hours of our first call. The quote states what is included, what is not, and when it will be delivered. We do not bill by the hour.

Work is delivered against that written scope. If you ask for something outside it — extra pages, a feature that was not discussed, a redesign after approval — we will quote that separately and wait for you to accept before building it. We will not do out-of-scope work and invoice you for it afterwards.

A quote is open for 30 days. After that we may re-quote, because our availability will have changed.

Payment

• Speed Fix ($249) — payable in full before work starts. The engagement is short and the outcome is measurable.
• Rebuild ($749) — 50% deposit before work starts, the remaining 50% once you have approved the staging site and before it goes live on your domain.
• Custom (from $1,900) — split across milestones set out in your quote, typically a deposit, one or more build milestones, and a final payment before launch.
• Care plan ($79/month) — billed monthly in advance.

Invoices are due within 7 days. If an invoice is more than 14 days overdue we may pause work until it is settled; we will tell you before we do, not after. Prices are in US dollars and exclude any tax that applies where you are.

What we need from you

Projects stall for one reason more than any other: waiting on content and access. To hit the dates in your quote we need timely access to your hosting, domain and existing site, plus any copy, images or brand assets you want used, and a single named person who can give approval.

If we are held up waiting on you for more than 30 days, we may treat the project as paused and re-schedule the remaining work around other commitments. Payments already made remain credited to your project.

Intellectual property

What you own

On final payment, you own the delivered website: your content, your images, your copy, the custom design and custom code written specifically for your project, and every account it runs on. Your hosting, your domain, your accounts — as we say elsewhere on this site, and we mean it. We do not hold your site hostage, and we will hand over credentials at launch.

What we keep

Our Rebuild tier is built on our own premium WordPress themes — the same themes we sell publicly on ThemeForest. We retain full ownership of those underlying themes, templates, frameworks and any general-purpose components and tooling we reuse across projects. You receive a perpetual, non-exclusive licence to use them as part of your delivered site, for that site, for as long as you like.

What that means in practice: you own your site and can move it, edit it, or hand it to another developer. You cannot take the underlying theme and resell or redistribute it as a product, and we remain free to use the same theme as the basis for other clients' sites. This is how theme-based development works everywhere; we are stating it plainly so it cannot become an argument later.

Showing the work

We may list your completed site in our portfolio and reference it in proposals, using its name, a screenshot and a short description. If you would rather we did not, tell us and we will leave it out — no reason needed, and it does not affect the price.

Hosting and uptime

We are not your hosting provider. Unless your quote says otherwise, your site runs on hosting you own and pay for, under that host's own terms and uptime commitments. We are not responsible for outages, server performance, data loss, or support failures on infrastructure we do not control.

We give no uptime guarantee for a site once it has launched, and we do not monitor it, unless you are on the care plan.

The care plan

The care plan is $79 per month and covers WordPress core, theme and plugin updates, regular backups, security monitoring, and a monthly speed check with a short written report.

• It is optional. Nothing else we sell requires it.
• It is billed monthly in advance and you can cancel at any time.
• Cancelling stops the next payment. The month you have already paid for runs to its end — see the Refund & Cancellation Policy.
• It does not include new features, new pages, redesigns, or content writing. Those are quoted as separate work.

We may adjust the price with 30 days' notice. If we do, you can cancel before the new price takes effect.

The PageSpeed guarantee

For Speed Fix we guarantee a mobile PageSpeed performance score of 90 or above. If we do not reach it, we keep working at no extra cost until we do, and if we still cannot get there you are entitled to a full refund. One honest exception: some sites carry third-party booking widgets, chat tools or tracking scripts heavy enough that no amount of optimisation reaches 90 while they remain. We identify these on the call, before you pay, and tell you plainly that the guarantee cannot apply.

Liability

We do the work carefully and we stand behind it. But there are limits worth stating clearly:

• Our total liability to you for any claim connected with a project is capped at the total fees you have actually paid us for that project.
• We are not liable for indirect or consequential losses — lost profit, lost revenue, lost data, lost business opportunity, or reputational harm — even if we were told they were possible.
• We are not liable for problems caused by third-party plugins, themes, hosting, or services we did not supply, or by changes made to the site by you or another developer after handover.
• Nothing here limits liability for fraud, or for anything that cannot lawfully be limited.

We do not guarantee search rankings, traffic, leads or sales. We can make your site fast, well-built and technically sound, and we will show you the measurements — but no honest developer promises a position on Google.

Ending a project

Either of us can end a project in writing. What happens to money already paid is set out in theRefund & Cancellation Policy. If we end it for a reason that is not your fault, you get a proportionate refund for work not delivered. If you end it, refunds depend on the stage reached.

We may end a project immediately, without refund, if it turns out to involve unlawful content, or if a client is abusive to either of us. This has never happened and we expect it never will.

Changes to these terms

We may update these terms. The version that applies to your project is the one published when you accepted your quote, so a later change cannot alter a deal already agreed.
